Terms of Service
These Terms of Service (the “Terms”) govern the use of this website and all services provided by Nineta LLC (“Nineta”, “we”, “us”) to its clients (“Client”, “you”). By using this website or accepting a quote from Nineta, you agree to these Terms.
1. Services
Nineta provides web design, website development, search engine optimisation (SEO), e-commerce setup, digital strategy and website maintenance services. The exact scope, deliverables, schedule and price of each project are set out in a written quote or proposal (the “Quote”). If a Quote conflicts with these Terms, the Quote prevails for that project.
2. Quotes and orders
- Quotes are free and valid for 30 days from their date of issue unless stated otherwise.
- A project starts once the Client has accepted the Quote in writing (including by email) and paid any deposit it requires.
- Any work outside the agreed scope is quoted separately before it begins.
3. Prices and payment
- Prices are stated in the currency shown on the Quote, excluding any taxes, bank fees or third-party costs unless the Quote says otherwise.
- Unless the Quote provides a different schedule, a deposit of 50% is due on acceptance and the balance is due on delivery, before the website is put online or handed over.
- Invoices are payable within 14 days of issue. Nineta may suspend work or access to deliverables while an invoice remains unpaid.
- Deposits cover work already scheduled and are not refundable once work has started, except where the law requires otherwise.
4. Client responsibilities
- The Client provides the texts, images, logos, access credentials and information needed for the project, on time and in a usable format.
- The Client confirms that it holds the rights to all materials it supplies and that their use does not infringe the rights of any third party.
- The Client is responsible for the legality and accuracy of the content published on its own website, including its own legal pages.
- Delays caused by missing materials or late feedback extend the project schedule accordingly.
5. Delivery, revisions and acceptance
- Each Quote states the number of revision rounds included. Additional revisions are billed at the rate stated in the Quote.
- On delivery, the Client has 10 business days to review the work and report any non-conformity with the Quote in writing.
- Without a written report within that period, or once the website is put online at the Client's request, the work is deemed accepted.
6. Intellectual property
- Once the full price has been paid, the Client owns the final deliverables created specifically for its project, including the design and the content written for it.
- Nineta keeps ownership of its pre-existing tools, code libraries, templates and know-how, and grants the Client a permanent, non-exclusive licence to use them as part of the delivered website.
- Third-party elements (fonts, themes, plugins, stock images, platforms such as Shopify) remain subject to their own licences, which may involve separate fees paid by the Client.
- Unless the Client objects in writing, Nineta may mention the project and show screenshots of it in its portfolio.
7. Third-party services
Hosting, domain names, e-commerce platforms, payment providers, email services and other third-party tools are supplied by their own providers under their own terms. Nineta may set them up on the Client's behalf, ideally in the Client's name, but is not responsible for their availability, pricing or changes.
8. Maintenance
Maintenance is provided only under a separate maintenance plan or Quote. It covers the tasks listed in that plan. Without a maintenance plan, any work after acceptance is quoted separately.
9. Warranties and liability
- Nineta carries out its services with care and in line with good professional practice. Search engine rankings, traffic and sales depend on factors outside Nineta's control and are not guaranteed.
- Nineta is not liable for indirect losses, such as loss of profit, revenue, data or opportunity, nor for damage caused by third-party services or by changes made by the Client or other providers.
- To the extent permitted by law, Nineta's total liability for a project is limited to the amount paid by the Client for that project.
10. Confidentiality
Each party keeps confidential the non-public information it receives from the other party during a project and uses it only for that project. This obligation continues for two years after the end of the project.
11. Termination
Either party may terminate a project by written notice if the other party seriously breaches these Terms and does not remedy the breach within 15 days of being notified. If a project ends early, the Client pays for the work completed up to the termination date.
12. Use of this website
- The content of this website (texts, design, graphics) belongs to Nineta LLC or is used with permission. It may not be copied or reused without prior written consent.
- The information on this website is provided for general purposes and does not constitute a binding offer. Only a signed or accepted Quote is binding.
- Links to other websites are provided for convenience. Nineta has no control over their content.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States. The parties will first try to settle any dispute amicably. Failing that, the courts of the State of Delaware have jurisdiction. If you are a consumer, you keep the protection of any mandatory rules of the country where you live.
14. Changes
Nineta may update these Terms at any time. The version that applies to a project is the one in force on the date the Quote was accepted.
